For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Photographer/Seller (“Seller”) hereby irrevocably sells, assigns, and transfers to the Buyer (“Buyer”) full and exclusive ownership of the photograph titled/described as [insert description or filename], including all copyright and related intellectual property rights worldwide, for the full term of copyright (including any renewals or extensions).
Buyer shall have the sole and exclusive right to use, reproduce, modify, distribute, display, publish, sell, license, and otherwise exploit the photograph in any media or format now known or later developed, without any further payment or obligation to Seller.
Seller represents and warrants that: (a) Seller is the sole owner of the photograph and all rights therein; (b) the photograph does not infringe any third-party rights; and (c) Seller has full authority to make this transfer.
Seller further agrees that, upon completion of this sale, Seller will not sell, license, distribute, or otherwise make available any other copies or versions of the photograph to any third party, and will not retain any rights to do so.
This transfer of ownership is effective immediately upon payment of the agreed purchase price
